# ProsperityPad (PD) Token Terms of Service

**ProsperityPad (PD) Token Kickstarter — Terms of Service, User Agreement & Public Disclosures**

The **ProsperityPad (PD)** token is a cryptocurrency/digital asset representing the voluntary support of individuals worldwide for a platform aimed at facilitating the launch of future digital assets. This **support is not equivalent to an investment in a company**—it is better understood as a **sacrifice**, an intentional expression of belief in the platform’s mission. Users contribute specific digital assets to support the growth of the launchpad and, as a **non-obligatory benefit**, receive the PD token in return.

All users of **ProsperityPad.com** agree that they are **reasonable individuals** who understand and accept that **no profit is expected from the efforts of ProsperityPad.com, ProsperityTech Inc., or its affiliates**. Users agree that participating in the Kickstarter does not create an **investment contract**, nor does it establish any ownership rights or profit-sharing agreements. It does not mean the companies and affiliates above cannot aid in the growth in the PD token.

#### **Nature of the ProsperityPad (PD) Token**

The **PD token** is a digital asset created to symbolize global support for ProsperityPad's mission. While **ProsperityPad.com** and the **PD token** share a name, they are **distinct entities**:

* **ProsperityPad (PD)** is a cryptographic token and is no more then code.
* It functions similarly to Bitcoin in that it can be freely transferred between individuals globally.
* The **key difference** lies in the blockchain it resides on, the asset used to pay gas fees, and its name.

**ProsperityPad.com** is a **fundraising platform** created by **ProsperityTech Inc.**, a company registered in **Panama**, that enables creators to launch token-based fundraising campaigns—similar in spirit to how Kickstarter enables product creators to raise funds.

#### **No Ownership or Investment Rights**

By participating in the ProsperityPad (PD) Kickstarter, **you acknowledge and agree** that:

* You are **not making an investment**.
* You are **not an investor**, shareholder, or partner in **ProsperityTech Inc.**.
* You receive **no ownership**, **no equity**, **no voting rights**, and **no entitlement to profits**.
* **ProsperityTech Inc., its founders, directors, shareholders, and team members have no fiduciary duty to you** as a token holder.

The PD token is **not sold as a financial product**. **No promises of return**, profit, or capital gain are made. The **value of PD tokens** may fluctuate due to market forces outside of ProsperityTech Inc.’s control, as is the case with other digital assets like Bitcoin or Ethereum. Any alternate information seen on social media and potentially even the main prosperitypad site will be not surpass the information in this terms of service.

#### **Community-Led Growth and Collective Will**

The creation and distribution of the PD token represent a **global, community-led effort**. Individuals across the world may:

* Promote the token
* Build communities
* Support marketing efforts
* Contribute to the growth of the ProsperityPad ecosystem

These actions are undertaken **voluntarily**, without compensation or expectation of profit. **ProsperityTech Inc.** is just **one player** in a larger ecosystem.

Although **ProsperityTech Inc. may choose to support** the PD token (e.g., through marketing, airdrops, or exchange listings), it does so **without obligation**—just as any person may choose to promote or support Bitcoin without obligation or expected return.

#### **Airdrops and Token Rewards**

Airdrops distributed to PD token holders **are not guaranteed**, **are not earnings**, and **are not to be interpreted as profits**. They are **non-obligatory bonus rewards** provided at the discretion of project teams launching through the ProsperityPad platform.

Newly created digital assets, especially those **not backed by tangible value**, are generally **not classified as money or currency**, and their distribution **does not equate to income**.

#### **Legal Jurisdiction and Dispute Resolution**

All users agree that:

* Participation in the ProsperityPad (PD) Kickstarter does **not constitute an investment contract** under securities or commodities law.
* All legal disputes or arbitration shall fall under the jurisdiction of **Panama**, regardless of user location or affiliate company presence elsewhere.
* The following dispute clauses fully apply to the ProsperityPad (PD) Kickstarter event:
  * **"18) In Regards to Legal Action (V1)"**
  * **"DISPUTE RESOLUTION — AGREEMENT TO ARBITRATE (II)"**

#### **Final Acknowledgment**

By participating in the ProsperityPad (PD) Kickstarter and using ProsperityPad.com:

* You affirm that **you are not investing**, but **supporting a cause**.
* You understand and agree that any **expectation of profit** is based solely on your own personal beliefs and does **not create legal obligations**.
* You accept that **ProsperityTech Inc. does not and will not guarantee** any financial return.
* You agree that your participation is **voluntary and final**.
